Let's Slide Twin Artist Agreement (DRAFT)
DRAFT. Pending review by a music attorney. Not legal advice. Version 2026-10-19-draft.
Draft notice
This is a DRAFT pending review by a music attorney. It is not legal advice. We may update it before launch; if we do, we'll ask you to accept the new version before your music keeps playing.
1. Who's who
"We" or "us" means Convenient Laboratories, LLC, doing business as Let's Slide Twin. "You" means the artist, or the person or company signing up on the artist's behalf. "Track" means a sound recording you upload, together with its artwork, title, credits and metadata.
Every song has two copyrights: the sound recording (the "master", usually owned by the artist or their label) and the musical composition (the words and music, owned by the songwriters and their publishers, often including co-writers and producers). This agreement covers both.
2. What you're giving us (non-exclusive license)
You give us a non-exclusive, worldwide, royalty-free (except as described in section 7) license, for as long as the Track is live on Let's Slide Twin, to: (a) store, transcode, and make clips of the Track; (b) stream a 30 to 60 second preview ("Spotlight") to app users, mainly near your home market; (c) show your artist name, artwork, title and links; and (d) if and when we launch it and you opt in for that Track, stream the full Track on "Twin Radio", a non-interactive local radio feature.
You keep all ownership of your music. You can sell, stream or license it anywhere else. Nothing here transfers any copyright to us.
We may use your name, artwork and short clips to promote Let's Slide Twin and your music inside the app and on our own channels. We will not sell your music or use it in ads for other businesses.
3. Your promises (warranties)
For every Track you upload, you promise that: (a) you own the master or have written permission from everyone who does; (b) you own, control or have cleared the composition, including every co-writer's and producer's share, or the composition is properly licensed; (c) any beat is yours, licensed exclusively to you, or licensed under a lease whose terms (including stream limits) allow this use, and you uploaded that license; (d) any sample or interpolation is cleared in writing by the owners of both the sampled master and the sampled composition; (e) the songwriter names, roles, splits, PRO affiliations and IPI numbers you entered are true to the best of your knowledge; (f) the Track and its artwork don't infringe anyone's rights, including copyright, trademark, privacy and publicity rights; and (g) you're at least 18, or a parent or guardian is agreeing for you.
Uncleared samples are not allowed. Tracks that we find match commercially released recordings are blocked and reviewed.
4. Performance rights
If you or your co-writers belong to a performing rights organization (ASCAP, BMI, SESAC or GMR), public performances of the composition are licensed through that organization. We will hold the needed blanket licenses before Twin Radio launches and will report plays to those organizations. This agreement does not change what your PRO pays you.
5. If something goes wrong (indemnity)
If someone makes a claim against us because one of your promises in section 3 wasn't true, you agree to cover our reasonable costs, damages and legal fees related to that claim. We'll tell you promptly about any claim and let you help respond to it.
6. Takedowns and the repeat-infringer policy
We follow the Digital Millennium Copyright Act. If we receive a valid copyright notice about your Track, we will disable it and tell you, and you may send a counter-notice through our DMCA page. If you send a valid counter-notice and the claimant doesn't tell us within 10 to 14 business days that they've filed a lawsuit, we may restore the Track.
Each Track we disable after a valid notice counts as one strike against your account. A strike is removed if the Track is restored after a counter-notice. Three active strikes and we terminate the account and remove all of your Tracks.
We can also remove any Track at any time if we believe it breaks this agreement, our content rules, or the law.
7. Money (Twin Radio revenue share, later)
Spotlight previews and taps to your Spotify, Apple Music or YouTube links are free promotion: we don't pay per preview and you don't pay us for them.
When Twin Radio launches, we plan to set aside a share of subscription revenue we attribute to music (initially 15%, and we will tell you before it changes) into a monthly pool, split by each opted-in artist's share of valid Twin Radio plays after fraud filtering (for example, muted plays, very short plays and repeat plays from one device don't count).
Earnings accrue monthly and are paid quarterly: within 15 days after the end of each calendar quarter (on or about January 15, April 15, July 15 and October 15), together with a statement of plays and earnings for that quarter. Payouts need a completed Stripe Connect account (Stripe collects your tax information). The minimum payout is $10; smaller balances roll over to the next quarter. Earnings on a Track that is the subject of a copyright dispute or takedown in the 30 days before a payout are held until the dispute is resolved. We'll publish the exact rules before payouts start.
Promoted boosts are paid ad placements. They're billed in advance by the week, they don't change what you earn, and they show a "Promoted" label.
8. Ending this agreement
You can remove a Track or close your account any time from your dashboard. We'll stop new plays within 7 days. We may keep records (play counts, agreement records, takedown history and payout records) as the law requires.
We may end this agreement or suspend your account if you break it. Sections 3, 5, 6 and any amounts already earned survive termination.
9. General
Let's Slide Twin is provided as is. To the extent the law allows, our total liability under this agreement is limited to the amounts we paid you in the 12 months before the claim. This agreement is governed by the laws of the State of Florida. If a court finds part of it unenforceable, the rest stays in effect.
